The Board is responsible for:
- Approving Group strategy
- Reviewing trading performance
- Ensuring adequate funding
- Examining major investments
- Ensuring the appropriate allocation of financial resources
- Monitoring the performance of the Executive Team.
The Board is also responsible for providing leadership and support to the Executive Management in creating and sustaining shareholder value through the management of the Group’s business, together with delivering expected shareholder returns. There is a formal Schedule of Matters, which sets out those items that must be referred to the Board.
The Board has four principal committees established to deal with specific aspects of the Group’s affairs. The membership of these committees and their terms of reference are available here.
The Company Secretary has responsibility to the Group as a whole for its sound governance and for providing guidance to the Board in the responsible and effective execution of its tasks.
