The Remuneration Committee is responsible for establishing the remuneration required to attract, motivate and retain high-calibre people focused on delivering our objectives.

Roles and responsibilities

The committee's roles and responsibilities include: 

  • determining and agreeing with the Board remuneration that ensures Executive Directors and certain senior managers are rewarded fairly and responsibly
  • setting and determining total individual remuneration arrangements for Executive Directors (including the Chairman) and certain senior managers
  • approving the design of, and determining the targets for, any performance-related plans and share-incentive plans
  • determining the terms of employment and remuneration of each Executive Director and certain senior managers, including recruitment and termination arrangements.
